ViTAILity Labs LLC Terms of Service

Please read these Terms of Service carefully. They contain a limitation of liability, an assumption of risk, a release, and a dispute resolution provision that affect your legal rights.

1. Acceptance, eligibility, and definitions

1.1 Agreement. These Terms of Service ("Terms") govern your access to and use of [website URL] (the "Site") and your purchase of any products from ViTAILity Labs LLC, a Florida limited liability company ("ViTAILity," "we," "us," or "our"). By accessing the Site, creating an account, or placing an order, you agree to these Terms and to our [Privacy Policy]. If you do not agree, do not use the Site or purchase our products.

1.2 Eligibility. You must be at least 18 years old and legally able to enter into a binding contract to use the Site or purchase products. We currently sell and ship only to addresses within [the United States / list of permitted states]. We may refuse service to anyone, at our sole discretion.

1.3 Definitions. "Products" means any peptide, supplement, accessory, or other item offered on the Site. "Animal" means the dog, horse, or other non-human animal for which you purchase Products. "Content" means all text, graphics, dosing references, articles, images, and other materials on the Site.

2. Products and regulatory status

2.1 Regulatory status. Products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA). Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease in animals or humans. Statements on the Site about Products describe general support of normal structure or function and are not claims of medical effect.

2.2 Animal use only. Products are intended solely for use in non-human animals. Products are not for human consumption or use.

2.3 Limited evidence. You acknowledge that scientific research on peptides is still developing, that much of it comes from laboratory and rodent studies, and that safety and effectiveness in any particular species or animal have not been established. Results vary, and some animals may experience no benefit.

2.4 No veterinary advice. ViTAILity does not practice veterinary medicine. Content on the Site, including articles, dosing references, calculators, and customer communications, is provided for general educational purposes only. It is not veterinary advice and does not create a veterinarian-client-patient relationship. Before using any Product, you should consult a licensed veterinarian who has examined your Animal, particularly if your Animal is pregnant, nursing, used for breeding, very young or elderly, taking medications, or has a known or suspected medical condition, including cancer.

2.5 Product information. We try to describe Products accurately, but we do not warrant that descriptions, images, or other Content are complete, current, or error-free. Labeling and instructions provided with a Product control over any conflicting Content on the Site.

3. Your representations and responsibilities

By purchasing Products, you represent and agree that:

1. You are the owner of the animal.

2. You will use Products only for non-human animals, and only as described in the Product labeling and as directed by your veterinarian.

3. You will not use Products in any animal that is or may become a food-producing animal, and you will not sell or send any treated animal for slaughter for human consumption. You acknowledge that the FDA considers horses food-producing animals.

4. You are solely responsible for knowing and complying with the rules of any racing, show, sporting, or performance organization in which your Animal competes, including prohibited-substance lists, testing, and withdrawal periods. Some Product ingredients may be prohibited and detectable in testing.

5. You will store, handle, and administer Products as instructed, including any refrigeration, sterile technique, and sharps disposal requirements, and you will keep Products away from children.

6. You will not resell, repackage, relabel, or distribute Products without our prior written consent.

7. All information you provide to us, including about your Animal's health and medications, is accurate and complete.

8. You will stop using a Product and contact a veterinarian promptly if your Animal shows any sign of an adverse reaction.

4. Orders, payment, shipping, and returns

4.1 Orders. Your order is an offer to purchase. We may accept, limit, or cancel any order, including after payment, for reasons such as product availability, pricing or description errors, suspected misuse or resale, or shipping restrictions. If we cancel after charging you, we will refund the amount charged.

4.2 Pricing and payment. Prices are in U.S. dollars and may change without notice. You authorize us and our payment processors to charge your selected payment method for the order total, including applicable taxes and shipping. 4.3 Shipping and risk of loss. We ship to the address you provide. Title and risk of loss pass to you when we deliver Products to the carrier. Delivery dates are estimates. You are responsible for promptly retrieving and properly storing temperature-sensitive Products on delivery.

4.4 Returns and refunds. Because Products are temperature-sensitive and their integrity cannot be verified once they leave our control, all sales are final and opened or used Products cannot be returned. If a Product arrives damaged, defective, or incorrect, contact us at [email] within [7] days of delivery with your order number and photos. At our option, we will replace the Product or issue a refund.

5. Risk, warranties, and liability

5.1 Adverse event reporting. If your Animal experiences a suspected adverse reaction, stop using the Product, contact a veterinarian, and notify us at [email/phone] with the Product name, lot number, and a description of what happened. We use these reports to review product safety.

5.2 Assumption of risk. You understand that Products are not FDA-approved, that their safety and effectiveness in any species have not been established, and that their use carries known and unknown risks. These risks include injection site reactions, infection, allergic reactions including anaphylaxis, digestive upset, interactions with other substances, a theoretical risk of promoting the growth of existing tumors, and unknown long-term effects. You voluntarily assume all risks associated with the purchase, handling, administration, and use of Products.

5.3 Disclaimer of warranties. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SITE, CONTENT, AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, VITAILITY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VITAILITY DOES NOT WARRANT THAT ANY PRODUCT WILL PRODUCE ANY PARTICULAR RESULT IN YOUR ANIMAL.

5.4 Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, VITAILITY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING VETERINARY COSTS, LOSS OF ANIMAL, LOSS OF COMPETITION OR BREEDING VALUE, OR LOST PROFITS, ARISING OUT OF OR RELATED TO THE SITE OR PRODUCTS. THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, WARRANTY, TORT, INCLUDING VITAILITY'S OWN NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY. VITAILITY'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

5.5 Release. To the fullest extent permitted by law, you release ViTAILity and its members, managers, officers, employees, and agents from all claims arising from the risks described in Section 5.2, including claims based on ViTAILity's own negligence, except claims for gross negligence or intentional misconduct.

5.6 Indemnification. You agree to indemnify, defend, and hold harmless ViTAILity and its members, managers, officers, employees, and agents from all claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of (a) your use or misuse of Products, (b) your breach of these Terms, (c) your violation of any law or competition rule, or (d) any claim by a third party relating to an Animal you treated with Products.

6. Site use, content, and privacy

6.1 Accounts. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use.

6.2 Permitted use. You may use the Site for personal, non-commercial purposes. You may not copy, scrape, or redistribute Content; interfere with the Site's operation; use the Site for any unlawful purpose; or misrepresent your identity.

6.3 Intellectual property. The Site, Content, and the ViTAILity name, logos, and trademarks are owned by or licensed to ViTAILity and are protected by intellectual property laws. No license is granted except the limited right to use the Site under these Terms.

6.4 Reviews and testimonials. If you submit a review, testimonial, photo, or other content ("User Content"), you grant ViTAILity a non-exclusive, royalty-free, perpetual, worldwide license to use, edit, and display it in connection with our business. You confirm that your User Content is truthful, reflects your genuine experience, and does not claim that a Product diagnoses, treats, cures, or prevents any disease. We may edit or remove User Content that does not meet these standards. Testimonials reflect individual experiences, and results are not typical or guaranteed.

6.5 Privacy. Our collection and use of personal information is described in our [Privacy Policy], which is part of these Terms.

6.6 Third-party links. The Site may link to third-party websites. We are not responsible for their content or practices.

7. Disputes and general terms

7.1 Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules.

7.2 Informal resolution. Before filing any claim, you agree to contact us at [email] and try in good faith to resolve the dispute informally for at least 30 days.

7.3 Venue. 7.5 Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.

7.6 Changes to these Terms. We may update these Terms by posting a revised version with a new "Last updated" date. Changes apply to orders placed after posting. Your continued use of the Site after changes are posted means you accept them.

7.7 General. These Terms, with our Privacy Policy and any Product labeling, are the entire agreement between you and ViTAILity about the Site and Products. If any provision is found unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, sale, or reorganization. Sections 2, 3, 5, 6.3, 6.4, and 7 survive termination of these Terms and completion of any purchase.
